Founded as Mallinckrodt in 1867, the $2 billion Covidien pharmaceutical segment (hereafter referred to as Mallinckrodt) is in the process of spinning off into a separate business. Mallinckrodt's Pharmaceuticals business in the Latin America (LATAM) region consists of sales and related administration yielding over $100 million USD in sales revenue across 20 countries, and has over 100 employees. The business is comprised of an Imaging division selling contrast media and nuclear medicine products, and a Pharmaceutical division selling active pharmaceutical ingredients and dosage pain relief products.
SUMMARY OF POSITION:
We are looking for a Paralegal to assist our LATAM Regional Counsel in providing legal support for the region's business. Principal responsibilities will include supporting the LATAM Regional Counsel regarding the following: compliance activities, corporate secretary functions, contract review and preparation, business development activity (acquisitions, divestitures, licensing), and training. Candidate will coordinate with local counsel and other service providers as necessary for support.
ESSENTIAL FUNCTIONS:
1. Work with local counsel in the preparation of incorporation documents, domestic and international business qualifications. Respond to outside counsel requests.
2. Work with local counsel in preparing annual minutes, powers of attorney, proxies and arranging for signatures
3. Draft or review and approve related documents, including minutes, bylaws, stock certificates and other organizational documents, including in connection with major business transactions (e.g., acquisitions, mergers)
4. Manage large volumes of documents and a variety of projects, with appropriate prioritization
5. Maintain minute books, records and registrations, with the assistance of local counsel for the LATAM region
6. Support compliance training and compliance review process for business materials and funding requests
7. Arrange for apostille and consularization of documents
8. Record and maintain information in Secretariat corporate database
9. Perform research and analysis on various legal topics as the need arises
10. Draft routine legal documents pursuant to the direction of the Regional Counsel
11. Organize and maintain sensitive files and maintain strict confidentiality
DEPARTMENT SPECIFIC/NON-ESSENTIAL FUNCTIONS:

Requirements |
MINIMUM REQUIREMENTS:
Education required/ preferred: Associate Degree in Paralegal Studies or related discipline, Paralegal certificate or equivalent
Experience: Minimum of 6 years of experience in either a major International law firm and/or multinational company, ideally one engaged in the healthcare industry (Pharmaceutical and Imaging experience would be an advantage)
Previous experience working with LATAM local counsel also a plus.
Preferred
Skills/Qualifications: Required - Fluent in Spanish and English language, both spoken and written. Portuguese would be a plus.
Skills/Competencies:

Possess strong verbal and written communication skills
Strong interpersonal skills with the ability to work in a team environment
High level of integrity and professionalism
Other Skills: Proficient in Microsoft Word, Outlook, Power Point and Excel.
Experience with Secretariat (corporate records database), matter management and document management software is a plus.
ORGANIZATIONAL RELATIONSHIPS/SCOPE:
This position will be located in St. Louis, MO USA and will report to the Regional Counsel - LATAM, also located in St. Louis. This position will have the support of an Administrative Assistant (to be shared).
