Position Summary

That's where you come in.  The Assistant General Counsel, Software and Control, will provide primary commercial legal support for Rockwell Automation's Software and Control business segment. The role calls for a trusted advisor to the business who understands its strategic initiatives and provides legal support that supports growth, mitigates risk, and assures compliance. The work will focus on supporting a growing software business focused on cutting edge technology and new business models that "bring the Connected Enterprise to Life" - i.e., IOT, SaaS, cloud, and ARR - as well as inorganic growth, specifically mergers and acquisitions involving software targets. A critical competency will be to provide commercial legal leadership and/or key participation for proactive cross-functional initiatives to support commercial transactions related to technology innovations.

Responsibilities include:

  • Provide proactive counsel to all levels of the business regarding commercial issues;

  • Collaborate with business management to discern risk tolerance and manage risk;

  • Support Business/Corporate Development on major transactions, including mergers, acquisitions, divestitures, and alliance relationships;

  • Lead or provide critical support for cross-functional initiatives to enable the company's evolution into new business models that "bring the Connected Enterprise to life" - i.e., SaaS, cybersecurity, cloud technology, and industrial automation and IOT software;

  • Serve as an escalation resource for the Contracts and Negotiation team on contract issues with clients and critical suppliers as they impact the Software and Control business;

  • Work with interdisciplinary project and transaction teams, including other peers and functions within the Office of General Counsel;

  • Select, retain, and manage outside counsel; manage costs and staffing; use budgets;

  • Provide input into risk management and compliance activities; serve as liaison for the business to the functions and areas of expertise within OGC;

  • Drive continuous improvement in the effectiveness and efficiency of our Legal Department.

Minimum Qualifications:

  • Law degree from a US accredited Law School or equivalent;

  • Minimum of seven years of law firm or in-house experience; corporate in-house experience a plus, but not required;

  • Demonstrated experience in technology industry and M&A are preferred;

  • Orientation toward business results; sufficient maturity, experience, and business acumen to become a trusted advisor to and an integral member of the CP&S management team;

  • A strong interest in working on cutting edge legal matters in software and technology;

  • Sound legal and business judgment; ability to assess risk and balance legal and business considerations;

  • Excellent communication skills;

  • Experience managing and improving processes and driving continuous improvement and takes initiative to solve problems;

  • Uncompromising ethics.
